1. About this Licence
1.1 This Digital Content Licence (“Licence”) governs the permitted use of digital educational content made available by HUMAN BREEZE L.P. (“we”, “us” or “our”) through the ibGenius website and online platform (“Platform”, “ibGenius”).
1.2 For the purposes of this Licence, “Digital Content” includes, among other things, course materials, videos, presentations, quizzes, exercises, mock examinations, examination papers, mark schemes, resource and revision packs, teaching materials, PDFs, downloadable files, graphics, text and other educational content made available electronically through the Platform.
1.3 This Licence applies to Digital Content that is purchased, downloaded, accessed through an e-learning course or otherwise made available to you under a licence.
1.4 This Licence forms part of our Terms & Conditions. Additional or different licence conditions may apply to a particular product, school package or institutional arrangement where these are communicated before purchase. Where specific licence conditions apply to particular Digital Content, those conditions prevail in relation to the permitted use of that content.
2. Ownership of Digital Content
2.1 Digital Content is owned by or licensed to us and is protected under applicable intellectual property law.
2.2 The purchase of or access to Digital Content does not transfer ownership of the Digital Content or of any intellectual property rights relating to it.
2.3 You receive only the limited right to access and use the Digital Content in accordance with this Licence, the licence type applicable to your purchase and any specific conditions communicated in relation to the relevant product.
3. Licence granted
3.1 Subject to compliance with this Licence, we grant you a limited, non-exclusive and non-transferable licence to access and use the relevant Digital Content for the purposes and within the limits applicable to your purchase.
3.2 The permitted users, scope of use, duration of access and any limits on downloading, printing, classroom use or institutional use are those specified in the relevant product description, licence type, school package, quotation, order confirmation or other applicable agreement.
3.3 Unless a product is expressly identified as including multi-user, classroom, school or institutional rights, the licence is granted only to the individual user for whom the Digital Content was purchased or made available and does not authorise sharing with other persons.
3.4 Where Digital Content is purchased by a parent, legal guardian, school or other organisation for use by a student or other authorised user, that user may use the Digital Content within the scope of the licence allocated to them.
4. Personal and Student Use
Where Digital Content is supplied under an individual or student licence, the authorised user may:
- access and use the Digital Content for their own study, revision and educational purposes;
- download and store Digital Content on their own devices where downloading is permitted;
- print copies for their own personal educational use; and
- make reasonable personal notes or annotations in connection with their use of the Digital Content.
An individual or student licence does not permit the Digital Content to be shared with other students, teachers, tutors or third parties.
5. Teacher and Professional Use
5.1 Where Digital Content is supplied under a teacher, tutor or other professional-use licence, the authorised user may use it in connection with their own teaching or educational activities to the extent permitted for the relevant product.
5.2 This may include displaying or using Digital Content during lessons, tutoring sessions or other educational activities conducted by the authorised user.
5.3 Copies or digital files may be provided to students only where classroom distribution or student use is expressly permitted under the relevant product or licence.
5.4 Permission to use Digital Content in the course of professional teaching or tutoring does not permit its resale, sublicensing, separate commercial distribution or incorporation into another product or resource offered to third parties.
6. School and Institutional Use
6.1 Where Digital Content is supplied under a school or institutional licence, it may be used internally by the authorised teachers, staff or students covered by the relevant licence.
6.2 The number and category of authorised users and the permitted scope of classroom, student or institutional use will be determined by the relevant school package, quotation, order confirmation or other agreement with us.
6.3 A school or organisation must take reasonable steps to ensure that Digital Content is made available only to users covered by its licence.
6.4 A school or institutional licence does not permit Digital Content to be published, sold, made publicly available or distributed outside the purchasing organisation unless expressly agreed by us in writing.
7. Restricted educational and assessment materials
7.1 Certain mock examinations, mark schemes, assessment materials or other Digital Content may be restricted to particular categories of users, including teachers or schools.
7.2 Where Digital Content is identified as restricted, you must not access, obtain or use it unless you belong to the authorised user category.
7.3 Restricted Digital Content must not be provided or otherwise made available to persons who are not authorised to access it under the relevant product or licence conditions.
8. Prohibited uses
Unless expressly permitted under the applicable licence or agreed by us in writing, you must not:
- reproduce or copy Digital Content beyond the use permitted under your licence;
- share, distribute, forward, publish, upload or otherwise make Digital Content available to unauthorised persons;
- upload Digital Content to a website, publicly accessible repository, file-sharing service or shared storage location accessible to persons who are not covered by the relevant licence;
- sell, resell, rent, lend, sublicense or otherwise commercially distribute Digital Content;
- incorporate Digital Content, in whole or in substantial part, into another educational product, course, database, resource pack or other material intended for distribution or commercial exploitation;
- use Digital Content to create or develop competing educational products or services;
- systematically extract, scrape, reproduce or compile Digital Content or substantial parts of it;
- remove, alter, conceal or circumvent any copyright notice, watermark, purchaser identification, access restriction, rights-management information or technical protection applied to Digital Content;
- bypass or attempt to bypass any restriction on access, downloading, copying or use of Digital Content; or
- assist or enable another person to carry out any of the above activities.
9. Artificial intelligence, text and data mining
9.1 Except to the extent that such use cannot lawfully be restricted or excluded, Digital Content must not, without our prior written authorisation, be used, reproduced, extracted or made available for:
- the training, fine-tuning, testing, evaluation or development of artificial intelligence or machine-learning systems;
- the creation or enrichment of datasets used for artificial intelligence, machine learning or automated content-generation systems;
- text and data mining;
- inclusion in retrieval databases, knowledge bases or other datasets used to generate or support automated outputs; or
- uploading to an artificial intelligence service or other automated system where the Digital Content may be retained, reproduced, analysed or used for any of the above purposes.
9.2 We expressly reserve our rights in relation to text and data mining of Digital Content, including the rights referred to in Article 4(3) of Directive (EU) 2019/790 and the corresponding provisions of applicable law.
10. Watermarks and other protective measures
10.1 Digital Content may contain watermarks, purchaser or user identification, order information or other technical or identifying measures intended to prevent or trace unauthorised distribution.
10.2 You must not remove, modify, obscure or circumvent any such measure.
10.3 The presence of identifying information in Digital Content does not extend the permitted use of that content beyond the scope of the relevant licence.
11. Third-party rights
11.1 Digital Content may contain material, terminology, trademarks or other subject matter owned by third parties.
11.2 Nothing in this Licence transfers or grants any ownership interest in third-party intellectual property or permits its use independently from the Digital Content and the purposes for which that Digital Content has been licensed.
11.3 International Baccalaureate®, IB® and any other relevant marks of the International Baccalaureate Organization remain the property of their respective owner. IbGenius is independent from and is not affiliated with, endorsed by, sponsored by or approved by the International Baccalaureate Organization.
12. Duration and termination of the Licence
12.1 The duration of a licence or period of access will be as stated in the relevant product description, purchase information, school package or other applicable agreement.
12.2 Where no specific licence duration is stated for Digital Content supplied for download or continued use, the licence remains in force subject to compliance with this Licence.
12.3 We may suspend or terminate access to Digital Content or the relevant licence in accordance with our Terms & Conditions, including where this Licence has been materially breached.
12.4 Termination of a licence for breach does not affect any rights or remedies that have arisen before termination.
13. Consequences of termination
Where a licence is terminated because of your breach, you must cease any use of the relevant Digital Content and, where reasonably possible, delete or destroy copies in your possession or control. This does not affect any obligation to preserve information where required by law.
14. Relationship with our Terms & Conditions
14.1 This Licence must be read together with our Terms & Conditions, which govern your use of the Platform and the purchase and provision of our products and services.
14.2 Questions concerning payment, cancellation, refunds, suspension of accounts, liability, governing law and disputes are governed by our Terms & Conditions and Refund & Cancellation Policy, as relevant.
